1 過秦上:
秦孝公據崤函之固,擁雍州之地,君臣固守,以窺周室,有席卷天下,包舉宇內,囊括四海之意,并吞八荒之心。當是時也,商君佐之,內立法度,務耕織,脩守戰之具;外連衡而鬥諸侯,於是秦人拱手而取西河之外。

2 過秦上:
孝公既沒,惠文武昭襄王,蒙故業,因遺策,南取漢中,西舉巴蜀,東割膏腴之地,北收要害之郡。諸侯恐懼,同盟而謀弱秦,不愛珍器重寶肥饒之地,以致天下之士,合從締交,相與為一。當此之時,齊有孟嘗,趙有平原,楚有春申,魏有信陵。此四君者,皆明智而忠信,寬厚而愛人,尊賢重士。約從離衡,兼韓、魏、燕、趙、宋、衛、中山之眾。於是六國之士,有甯越、徐尚、蘇秦、杜赫之屬為之謀主,齊明、周最、陳軫、召滑、樓緩、翟景、蘇厲、樂毅之徒通其意,吳起、孫臏、帶佗、倪良、王廖、田忌、廉頗、趙奢之朋制其兵。嘗以什倍之地、百萬之眾,仰關而攻秦。秦人開關延敵,九國之師逡遁而不敢進。秦無亡矢遺鏃之費,而天下諸侯已困矣。於是從散約解,爭割地而賂秦。秦有餘力而制其弊,追亡逐北,伏尸百萬,流血漂櫓,因利乘便,宰割天下,分請山河,彊國裂伏,弱國入朝。

秦孝公欲用衛鞅之言,更為嚴刑峻法,易古三代之制度,恐大臣不從,於是召衛鞅,甘龍、杜摯三大夫御於君,慮世事之變計,正法之本,使民道。君曰:「代位不亡社稷,君之道也;錯法務明主,長臣之行也。今吾欲更法以教民,吾恐天下之議我也。」公孫鞅曰:「臣聞疑行無名,疑事無功,君前定變法之慮,行之無疑,殆無顧天下之議,且夫有高人之行者,固負非於世;有獨知之虞者,必見謷於民。語曰:『愚者晤成事,知者見未萌。』民不可與慮始,可與樂成功。郭偃之法曰:『論至德者,不和於俗;成大功者,不謀於眾。』法者所以愛民也,禮者所以便事也。是以聖人苟可以治國,不法其故;苟可以利民,不循其禮。」孝公曰:「善。」甘龍曰:「不然。臣聞聖人不易民而教,知者不變法而治。因民而教者,不勞而功成,據法而治者,吏習而民安之。今君變法不循故,更禮以教民,臣恐天下之議君,願君熟慮之。」

商鞅三說秦孝公,前二說不聽,後一說用者,前二、帝王之論,後一、霸者之議也。夫持帝王之論,說霸者之主,雖精見距;更調霸說,雖麤見受。何則?精遇孝公所不得,麤遇孝公所欲行也。故說者不在善,在所說者善之;才不待賢,在所事者賢之。馬圄之說無方,而野人說之;子貢之說有義,野人不聽。吹籟工為善聲,因越王不善,更為野聲,越王大說。故為善於不欲得善之主,雖善不見愛;為不善於欲得不善之主,雖不善不見憎。此以曲伎合,合則遇;不合則不遇。

昔者吳起教楚悼王以楚國之俗曰:「大臣太重,封君太眾,若此則上偪主而下虐民,此貧國弱兵之道也。不如使封君之子孫三世而收爵祿,絕滅百吏之祿秩,損不急之枝官,以奉選練之士。」悼王行之期年而薨矣,吳起枝解於楚。商君教秦孝公以連什伍,設告坐之過,燔詩書而明法令,塞私門之請而遂公家之勞,禁游宦之民而顯耕戰之士。孝公行之,主以尊安,國以富強,八年而薨,商君車裂於秦。楚不用吳起而削亂,秦行商君法而富強,二子之言也已當矣,然而枝解吳起而車裂商君者何也?大臣苦法而細民惡治也。當今之世,大臣貪重,細民安亂,甚於秦、楚之俗,而人主無悼王、孝公之聽,則法術之士,安能蒙二子之危也而明己之法術哉!此世所以亂無霸王也。

夫有術者之為人臣也,得效度數之言,上明主法,下困姦臣,以尊主安國者也。是以度數之言得效於前,則賞罰必用於後矣。人主誠明於聖人之術,而不苟於世俗之言,循名實而定是非,因參驗而審言辭。是以左右近習之臣,知偽詐之不可以得安也,必曰:「我不去姦私之行盡力竭智以事主,而乃以相與比周妄毀譽以求安,是猶負千鈞之重,陷於不測之淵而求生也,必不幾矣。」百官之吏,亦知為姦利之不可以得安也,必曰:「我不以清廉方正奉法,乃以貪污之心枉法以取私利,是猶上高陵之顛,墮峻谿之下而求生,必不幾矣。」安危之道若此其明也,左右安能以虛言惑主,而百官安敢以貪漁下?是以臣得陳其忠而不弊,下得守其職而不怨。此管仲之所以治齊,而商君之所以強秦也。從是觀之,則聖人之治國也,固有使人不得不愛我之道,而不恃人之以愛為我也。恃人之以愛為我者危矣,恃吾不可不為者安矣。夫君臣非有骨肉之親,正直之道可以得利,則臣盡力以事主;正直之道不可以得安,則臣行私以干上。明主知之,故設利害之道以示天下而已矣。夫是以人主雖不口教百官,不目索姦邪,而國已治矣。人主者,非目若離婁乃為明也,非耳若師曠乃為聰也。目必,不任其數,而待目以為明,所見者少矣,非不弊之術也。耳必,不因其勢,而待耳以為聰,所聞者寡矣,非不欺之道也。明主者,使天下不得不為己視,天下不得不為己聽。故身在深宮之中而明照四海之內,而天下弗能蔽、弗能欺者何也?闇亂之道廢,而聰明之勢興也。故善任勢者國安,不知因其勢者國危。古秦之俗,君臣廢法而服私,是以國亂兵弱而主卑。商君說秦孝公以變法易俗而明公道,賞告姦,困末作而利本事。當此之時,秦民習故俗之有罪可以得免、無功可以得尊顯也,故輕犯新法。於是犯之者其誅重而必,告之者其賞厚而信,故姦莫不得而被刑者眾,民疾怨而眾過日聞。孝公不聽,遂行商君之法,民後知有罪之必誅,而私姦者眾也,故民莫犯,其刑無所加。是以國治而兵強,地廣而主尊。此其所以然者,匿罪之罰重,而告姦之賞厚也。此亦使天下必為己視聽之道也。至治之法術已明矣,而世學者弗知也。

1 更法:
孝公平畫,公孫鞅、甘龍、杜摯三大夫御於君,慮世事之變,討正法之本,求使民之道。
Reform of the Law:
Duke Xiao discussed his policy. The three Great Officers, Gong sun Yang, Gan Long and Du Zhi, were in attendance on the Prince. Their thoughts dwelt on the vicissitudes of the world's affairs; they discussed the principles of rectifying the law, and they sought for the way of directing the people.

4 更法:
孝公曰:「善。」

Duke Xiao expressed his approval.

9 更法:
孝公曰:「善。吾聞窮巷多怪,曲學多辨。愚者之笑,智者哀焉;狂夫之樂,賢者喪焉。拘世以議,寡人不之疑矣。」
Reform of the Law:
Duke Xiao said: "Excellent ! I have heard it said that in poor country districts, much is thought strange, and that in village schools there are many debates. What the foolish laugh about, the wise are sad about; the joy of a madman is the sorrow of a man of talent. One should, in one's plans, be directed by the needs of the times - I have no doubts about it."
